Secretary's report: Articles of Incorporation
*Greg presented the draft articles of incorporation.
Articles were approved in general and will be
considered for final approval with by-laws
Treasurer's report: bank account?
*Casey spoke with Wells Fargo about setting up a bank
account. The bank needs a DBA, articles and by-laws
and an individual ssn or coporate tax id number.
1) Timeline and reimbursement cost proposal from Geoff
for separation of Madrono from his private firm. Is
there agreement on this point of business?
*Geoff decided to keep Madrono as private business
name. Other members expressed respect for this
decision.
Discussion as to a new name? Chosen name: Native
Spaces. Url nativespaces.org purchased on-line.

2) Should Native Spaces adopt Webster's Roberts Rules
of Order as its parliamentary authority?
*unanimous yes. Webster's Robert's Rules Order is now
the organization's parliamentary authority.
3) Does NS ratify the draft Articles of incorporation.
As they stand?
*Articles will be officially ratified with by-laws
4) Finalization of mission statement?
"Native Spaces promotes the use of California Native
plants in residential, commercial and public spaces."

5) Discussion of bylaws. Proposed provisions in
by-laws. ideas? Model language?
Below are discussed ideas:
Meetings: NS will hold at least 10 board meetings per
year, generally on a monthly basis. NS will also hold
at least ten general membership meetings which will
likely be combined with a slide-show/presentation or
other event.
Board: There will be 5-7 directors, which will be
elected by the membership. elections will be once a
year..
Quorom: At present a quorom is all three directors.
when there are more directors quorom willbe 2/3 of the
total number.
Terms: Directors will serve a term of 1-2 years. Terms
will be staggered so there is always an experienced
director to train new directors. First terms may be
two years so as to get the organization going
Notice: The basic form of notice will be e-mail. Phone
and mail notice will be available upon request.
Classification of members and dues:
Corporate--$500
Commerical/sole proprietor/small business--$100
General Public--$40
Low income/student/educator--$20 or 6 hours volunteer
time.
Each member will have one vote in board elections.
Discussion of web-site and out-reach materials:
Agreement to begin integrating educational/non-profit
portions of indiividual web-sites into
nativespaces.org
Web site should be simple at first and contain the
following sections: about, contact, classes, events,
native plant gallery, and blog
Agreement to start brainstorming/writing different
sections.
Agreement to work on developing logo.
